As seen on SEC’s Official Facebook- Pursuant to SEC Memorandum Circular No. 20, Series of 2026, otherwise known as the Guidelines Prescribing Prudential, Disclosure, and Market Conduct Requirements for Financing and Lending Companies and Lifting the Moratorium on Online Lending Platforms (MC No. 20), the Securities and Exchange Commission hereby adopts SEC Form BP-01 (Business Plan for Financing and Lending Companies) as the prescribed Business Plan for all financing companies (FCs) and lending companies (LCs), and prescribes the guidelines governing its preparation, submission, implementation, amendment, and continuing maintenance.

The 2026 BP Guide establishes a standardized framework for the submission and management of Business Plans, covering both newly incorporated FCs and LCs and existing companies seeking to amend their approved Business Plans.

Under the Guide, all original and amended Business Plans shall be prepared using the revised SEC Form BP-01, with no other format accepted unless otherwise authorized by the Commission. Newly incorporated FCs and LCs are likewise required to submit their Original Business Plan within sixty (60) days from the issuance of their Certificate of Authority.

In addition, FCs and LCs intending to operate through Online Lending Platforms (OLPs) must first disclose and record their respective OLPs with the Commission prior to the submission of their Original Business Plan, consistent with the disclosure and recording requirements under MC No. 20.
